A newly public U.S. coffee chain that has been opening stores at a rapid clip is now facing a securities class action in New York, as multiple law firms remind investors of an August 17, 2026 deadline to seek appointment as lead plaintiff in the case against Black Rock Coffee Bar, Inc. (NASDAQ: BRCB).
According to a notice from Faruqi & Faruqi, LLP, the federal securities class action covers investors who bought (a) Class A common stock pursuant and/or traceable to the registration statement and prospectus issued in connection with Black Rock Coffee Bar’s September 2025 initial public offering, and/or (b) securities between September 12, 2025 and May 12, 2026, inclusive. Faruqi & Faruqi states it is investigating potential claims and that eligible investors have until August 17 to ask the court to serve as lead plaintiff in the matter.
The underlying lawsuit, captioned Stephen Aiello v. Black Rock Coffee Bar, Inc., No. 26-cv-05181 (S.D.N.Y.), was filed on June 18, 2026 in the U.S. District Court for the Southern District of New York, according to a notice from Glancy Prongay Wolke & Rotter LLP. The firm reports that the plaintiff is pursuing claims under Sections 10(b) and 20(a) of the U.S. Securities Exchange Act of 1934.
Kessler Topaz Meltzer & Check, LLP states that the initial public offering occurred on or about September 15, 2025, and that the complaint seeks relief on behalf of investors who purchased Black Rock Coffee Bar securities in the IPO or during the class period. A Business Wire–syndicated notice of the Glancy Prongay Wolke & Rotter filing reports that the IPO sold 16,911,764 Class A common shares at a price of $20.00 per share.
In the months following the listing, Black Rock Coffee Bar highlighted strong top-line growth and rapid store expansion. In its first-quarter 2026 results, Black Rock Coffee Bar reported total revenue of $55.5 million, an increase of 23.7% compared with the prior-year quarter. The company also disclosed same-store sales growth of 5.2% and said it opened nine new stores during the period.
The June 18 lawsuit notice distributed via Business Wire stated that same-store growth of 5.2% in the first quarter of 2026 compared with 9.2% in the same quarter of the previous year. The complaint materials described in that notice and in the Faruqi & Faruqi reminder allege that Black Rock Coffee Bar and certain of its officers and directors made false or misleading statements and/or omitted to disclose material information about the impact of new store openings and the company’s expansion strategy; these allegations remain [UNVERIFIED] at this stage of the litigation.
The Faruqi & Faruqi investor reminder states that the complaint claims new store openings were causing cannibalization of existing services and revenue, that the company overstated how its expansion strategy avoided sales transfer, that financial results were materially impacted, and that certain positive statements supposedly lacked a reasonable basis; all such characterizations are also [UNVERIFIED] and have not been adjudicated.
The court-appointed lead plaintiff will be the investor with the largest financial interest in the relief sought by the class who is adequate and typical of other class members and who directs and oversees the litigation on behalf of the putative class, Faruqi & Faruqi’s notice explains. Glancy Prongay Wolke & Rotter notes that investors have 60 days from its June 18 filing notice to move the court to serve as lead plaintiff in the action.
For investors who do not wish to take on that role, Faruqi & Faruqi emphasizes that participation in any eventual recovery does not require affirmative legal action. Its notice states that eligible investors may share in a recovery by remaining absent members of the class if the case results in a settlement or judgment.
The same notice adds that whistleblowers, former Black Rock Coffee Bar employees, and others with relevant information about the company’s conduct are encouraged to come forward. As of the latest filings and releases, none of the notices report any market reaction in Black Rock Coffee Bar’s share price or a public response from the company addressing the claims.
